Terms of Service
These terms govern your access to and use of Mailgent. By creating an account, generating an API key, or connecting an AI client, you agree to them.
These Terms of Service (“Terms”) are a binding agreement between you (or the organization you represent) and Mailgent (“Mailgent,” “we,” “us”) governing your use of the Mailgent website, console, API, and Model Context Protocol (MCP) connectors (together, the “Services”).
Please read them carefully. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
The Service — Mailgent is infrastructure
Mailgent provides identity infrastructure for AI agents — including email, a credential vault, TOTP/2FA, calendar, identity signing, and connectors for Slack, social accounts, and payments. You may operate the Services through the console, the API, or an AI client connected over OAuth or an API key.
Mailgent is a neutral infrastructure provider. We supply the tools and transport; we do not control, direct, supervise, author, or review the instructions you give your agents or the actions they take. We do not select your agents' models, prompts, or decisions.
You are solely responsible — and solely liable — for your agents and everything they do through the Services. Agents operate under your credentials, on your authority, and at your direction; their actions are deemed your actions. This includes every email sent or received, every credential stored or used, every message or post made to a connected service, and every payment or transaction initiated.
Mailgent is not a party to, and accepts no responsibility or liability for, the outcomes of your agents' actions — including any communication they send, any content they generate, any decision they make, any obligation they purport to enter into, or any transaction they execute. As between you and Mailgent, all such responsibility and liability rests entirely with you.
Accounts and credentials
- You must provide accurate account information and keep it current.
- You are responsible for safeguarding API keys, OAuth client secrets, and login credentials, and for all activity that occurs under them.
- Notify us promptly at security@mailgent.dev if you suspect unauthorized access.
- You must be at least 16 years old and legally able to enter into these Terms.
Acceptable use
You agree not to use the Services to:
- Send spam, phishing, malware, or unlawful, deceptive, or harassing communications.
- Violate the rights of others, including privacy, publicity, and intellectual-property rights.
- Store or transmit content you are not authorized to handle, or use stored credentials without authorization.
- Circumvent rate limits, scopes, or security controls, or attempt to access data that is not yours.
- Break the law, including anti-money-laundering, sanctions, and export-control rules, or the terms of any connected service (such as Slack or a social network).
- Generate or distribute content that is illegal or that a connected platform prohibits.
We may suspend or terminate access for violations of this section, with or without notice where the violation is serious or ongoing.
Connected services and payments
When you connect third-party services — email recipients, Slack, social platforms, payment networks, or AI clients — your use of those services is also governed by their terms. You are responsible for having the rights and permissions needed to connect them and to act through them.
Mailgent's vault encrypts payment card data at rest and does not itself process payments. Where the Services facilitate a payment or on-chain transaction, you are responsible for the validity and legality of that transaction and for any associated fees.
Fees and billing
Paid plans are billed according to the pricing in effect when you subscribe. Fees are non-refundable except where required by law. We may change pricing on a going-forward basis with reasonable notice. You are responsible for applicable taxes.
Intellectual property
Mailgent and its software, branding, and documentation are owned by us and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Services under these Terms. You retain ownership of the content and data you submit, and you grant us the limited rights needed to operate the Services on your behalf.
Privacy
Our handling of personal data is described in the Privacy Policy, which is incorporated into these Terms by reference. By using the Services you consent to that handling.
Suspension and termination
You may stop using the Services and close your account at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or if required for security or legal reasons. On termination, your right to use the Services ends; we will make your data available for export for a reasonable period unless prohibited by law.
Disclaimers
The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that agent actions will produce a particular result. You are responsible for reviewing and supervising the actions your agents take.
Limitation of liability
To the maximum extent permitted by law, Mailgent will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Services will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim.
Indemnification
You will defend, indemnify, and hold harmless Mailgent and its officers, employees, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) brought by any third party — including recipients of your agents' communications, connected platforms, payees, and regulators — arising out of or relating to your use of the Services, your content, your agents' actions or outputs, or your violation of these Terms or applicable law. This obligation reflects that Mailgent is infrastructure and does not control what your agents do.
Changes to these terms
We may update these Terms as the Services evolve. When changes are material, we will update the “Last updated” date and, where appropriate, notify you. Your continued use after changes take effect constitutes acceptance.
Governing law and disputes
Mailgent is operated by an entity based in Singapore. These Terms and any dispute arising out of or in connection with them or the Services are governed by the laws of Singapore, without regard to its conflict-of-laws rules.
The courts of Singapore have exclusive jurisdiction over any such dispute, and you submit to that jurisdiction. Nothing in this section limits any mandatory consumer-protection rights you may have under the laws of your place of residence.
General
These Terms are the entire agreement between you and Mailgent regarding the Services and supersede prior agreements. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
